Terms & Conditions of Service:

1. This agreement is between Relax Web Productions, LLC., ("Relax Web"), acting in it's capacity as Parent Company for Relax Music Group and RMG Digital; whereas RMG Digital shall provide Digital Distribution of Independent Music for Airplay on Broadcast Radio and Internet Streams, Royalty Free.
   
   
2. Performance Rights: RMG Digital agrees to provide Registered Programmers with Digital MP3 files from Independent Artists, Royalty Free. Further, RMG Digital agrees that they have obtained Exclusive Performance Rights agreements from each of our artists. Our Performance Rights Agreements grant all RMG Digital Programmers with Limited Usage Rights to perform our RMG Digital Files on your Broadcast Signal or Internet Stream. Further our artists have agreed to waive any and all Airplay or related royalties for this purpose.
   
   
3. Programmer must provide verifiable information with their sign-up. Programmer agrees that they do indeed provide broadcast or internet streams or shows, and that they will use the RMG Digital Files in accordance with all applicable laws. Programmer further agrees that they will disseminate our MP3 Files only as necessary to provide them for broadcast on a live or automated feed. This shall include one personal copy on the programmers computer hard drive, and one copy on the station/stream's music computer hard drive. Programmer also agrees not to modify or alter the file in any way shape or form.
   
   
4. PROGRAMMER AGREES THAT THEY WILL NOT DISTRIBUTE RMG DIGITAL FILES ON ANY FILE SHARING SERVICE OR WEB SITE. Programmer further agrees that they will not make any RMG Digital File available to any other persons or entities beyond the scope of operations of your broadcast or internet signal. Finally, Programmer agrees to only utilize these files on a Live or Automated Music Stream or Broadcast Signal.
   
   
5. Programmer assumes full responsibility for all content or information provided for use in our RMG Digital Services. Relax Web reserves the right to reject, without notice, any programmer or suspend offering of files, which, in its sole opinion, may result in a violation of applicable Federal, State, Common, or International laws or regulations. This agreement shall be governed by the law of the State of Missouri. The forum for any disputes under this agreement shall be Boone County, Missouri.
   
   
6. Relax Web and Programmer, may cancel this agreement at will at any time with without notice. In the event of cancellation, Programmer agrees to delete or otherwise destroy any copies of any files they have obtained through RMG Digital.
   
   
7. Programmer acknowledges that these terms and conditions are subject to change without notice. Client's continued use of Relax Web, or RMG Digital, constitutes Programmer's acceptance of these and any and all modified terms. All terms and conditions for the use of any and all services provided by RMG Digital are available for viewing at http://www.relaxonline.com/terms.html and Programmers are encouraged to print a copy of these terms at time of sign-up.
   
   
8. RMG Digital is in no way soliciting any investment or making any offer of a recording contract. RMG Digital is merely acting as a Promotional Agent. Artists will need to provide a mechanical waiver for all files submitted to RMG Digital. Each of our MP3 files are For Promotional Use Only, and we do not collect, receive or distribute any royalties.
   
   
9. RELAX WEB RESERVES THE RIGHT TO IMMEDIATELY TERMINATE ANY CLIENT THAT PERSONALLY, VERBALLY or PHYSICALLY ASSAULTS ANY RELAX WEB EMPLOYEE, OFFICER or OWNER. ANY AND ALL RELAX WEB SERVICES SHALL BE IMMEDIATELY TERMINATED. ANY FEES PAID FOR SAID SERVICES SHALL NOT BE SUBJECT TO ANY REFUND.

RMG Digital Privacy Statement:

• RMG Digital is committed to maintaining the privacy of all of our visitors and participants. However, there are certain features of our site where our visitors and participants can provide personal information to RMG Digital on a voluntary basis.
  
  
• WE DO NOT SELL OUR VISITOR INFORMATION. All visitor information received at RMG Digital is held in strictest confidence. From e-mail addresses and personal data, to credit card and transaction information, all visitor data received by RMG Digital stays with us. We are not trying to derrive demographic, geographic and psychographic information on our visitors and we do not sell our visitor information to any 3rd party companies.
  
  
• WE DO NOT SEND SPAM. We will not send you e-mail every day telling you about this that or the other thing. If there is a reason to communicate with you, whether it is a response to a question, or to confirm purchases and orders placed through RMG Digital, we will respond to you by e-mail. We may, from time to time, send you a notice of site updates, new features, special sale offers and online events. Otherwise, you won't hear from us unless you want to!
  
  
• Your e-mail address will not be sold to any data mining company. Ever. Period. Upon request, visitors may "opt out" of further communication with RMG Digital, with all information purged from our databases where possible.
  
  
• RMG Digital is a privately owned website and is operated by Relax Web. As an Internet Publication, this site is protected by the First Amendment of the U.S. Constitution. We are free to publish the materials presented here, and are not obligated to reveal our sources to anyone without due process of the law.
